Terms of Service

These Terms of Service ("Terms") govern your access to and use of the KinetiqFlow Pay platform ("Service") operated by KinetiqFlow LLC ("KinetiqFlow," "we," "us"). By creating an account or using the Service, you agree to be bound by these Terms. If you do not agree, do not use the Service.

1. Description of Service

KinetiqFlow Pay is a business management platform for service professionals. It provides tools for job scheduling, customer management, invoicing, payment collection (via Stripe), maintenance contract management, team dispatch, and optional accounting synchronization with QuickBooks Online.

We reserve the right to modify, suspend, or discontinue any feature of the Service at any time with reasonable notice to subscribers.

2. Account Registration

  • You must provide accurate, complete, and current information when creating an account.
  • You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account.
  • You must be at least 18 years old and authorized to enter into a binding agreement on behalf of your business.
  • You agree to notify us immediately at support@kinetiqflow.ai if you suspect unauthorized access to your account.
  • Each organization account may have one owner and multiple team members (admins and technicians) as permitted by your subscription plan.

3. Subscription and Billing

Access to the full Service requires a paid subscription. All subscriptions are billed in advance on a monthly or annual basis, processed by Stripe.

  • No Refunds: All subscription fees are non-refundable. Cancellations take effect at the end of the current billing period; you retain access until that date.
  • Free Trial: If a free trial is offered, your card will be charged at the end of the trial unless you cancel before the trial expires.
  • Price Changes: We may change subscription prices with 30 days' advance notice. Continued use after the effective date constitutes acceptance of the new pricing.
  • Failed Payments: If a payment fails, your account will enter a grace period. Prolonged non-payment may result in account suspension. You may restore access by updating your payment method in Settings → Billing.
  • Account Deletion: You may request account deletion at any time. A 30-day grace period applies before data is permanently purged. See our Privacy Policy for retention details.

4. Payment Processing & Stripe Connect

KinetiqFlow Pay uses Stripe to facilitate payments from your customers to you. By accepting payments through the platform, you agree to the Stripe Connected Account Agreement.

  • You (the merchant) are the seller of record for all transactions with your customers.
  • KinetiqFlow LLC is not a bank, payment processor, or party to any contract between you and your customers.
  • KinetiqFlow does not store or have access to raw card numbers or sensitive payment credentials.
  • You are responsible for all taxes, fees, and chargebacks arising from transactions with your customers.
  • Stripe's fees are separate from KinetiqFlow's subscription fee and are governed by Stripe's pricing.

5. Acceptable Use

You agree not to use the Service to:

  • Violate any applicable law or regulation
  • Send unsolicited commercial communications (spam) to customers
  • Upload or transmit malware, viruses, or malicious code
  • Attempt to gain unauthorized access to our systems or another user's data
  • Reverse-engineer, decompile, or create derivative works of the Service
  • Resell or sublicense access to the Service without our written consent
  • Use the Service for any unlawful, harmful, or fraudulent purpose
  • Impersonate any person or entity or misrepresent your affiliation

We reserve the right to suspend or terminate accounts that violate this section without refund.

6. QuickBooks Online Integration

This section governs your use of the optional QuickBooks Online ("QBO") integration. Activating this integration is subject to both these Terms and Intuit's terms of service.

  • Authorization: By connecting QBO, you authorize KinetiqFlow to access your QuickBooks account solely to sync invoices, customers, and payment records as described in our Privacy Policy.
  • No Sale of Intuit Data: KinetiqFlow does not sell, share for advertising, or otherwise monetize any data obtained from Intuit's APIs. Such data is used exclusively to provide the sync feature you requested.
  • Non-Competition: We do not use Intuit data to build products or services that compete with Intuit.
  • Accuracy: You are responsible for reviewing all data synced to QuickBooks. KinetiqFlow is not liable for inaccuracies in your QuickBooks records resulting from data you entered in KinetiqFlow Pay.
  • Revocation: You may disconnect the QBO integration at any time from Settings → Connections. Upon disconnection, OAuth tokens are immediately deleted. See our Privacy Policy for full data-retention details.
  • Compliance: Our QBO integration complies with the Intuit Developer Agreement and all applicable QuickBooks App Store policies.

7. SMS Communications

By using features that send SMS messages to your customers, you represent that you have obtained legally required consent from those customers to receive automated text messages from your business. You are solely responsible for SMS compliance, including TCPA requirements in the United States.

  • Customers may opt out by replying STOP to any message.
  • You agree not to use SMS features to send unsolicited commercial messages.
  • Message and data rates may apply to end recipients.
  • Carriers are not liable for delayed or undelivered messages.

8. Your Data

You retain full ownership of all data you input into KinetiqFlow Pay, including customer records, job details, and invoice content. By using the Service, you grant KinetiqFlow a limited, non-exclusive license to process your data solely as necessary to provide the Service.

You are responsible for the accuracy and legality of data you enter, including ensuring you have the right to store customer information and that your invoices comply with applicable law.

9. Intellectual Property

The Service, including its software, design, trademarks, and content created by KinetiqFlow, is owned by KinetiqFlow LLC and protected by applicable intellectual property laws. These Terms do not grant you any rights to our intellectual property beyond the limited license to use the Service.

10. Disclaimer of Warranties

The Service is provided "as is" and "as available" without warranties of any kind, express or implied, including but not limited to merchantability, fitness for a particular purpose, and non-infringement. KinetiqFlow does not warrant that the Service will be uninterrupted, error-free, or free of viruses.

11. Limitation of Liability

To the maximum extent permitted by law, KinetiqFlow LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, arising from your use of or inability to use the Service, even if we have been advised of the possibility of such damages.

Our total liability to you for any claim arising under these Terms shall not exceed the greater of (a) the amount you paid to KinetiqFlow in the 12 months preceding the claim, or (b) $100 USD.

12. Indemnification

You agree to indemnify, defend, and hold harmless KinetiqFlow LLC and its officers, directors, employees, and agents from any claims, liabilities, damages, and expenses (including reasonable attorneys' fees) arising from your use of the Service, your violation of these Terms, or your violation of any third-party rights.

13. Termination

Either party may terminate the agreement at any time. We may suspend or terminate your account immediately and without notice if we reasonably believe you have violated these Terms or applicable law. Upon termination, your right to use the Service ceases immediately. Account data is retained per our Privacy Policy and then purged.

14. Changes to These Terms

We may update these Terms from time to time. Material changes will be communicated via email or in-app notice at least 14 days before they take effect. Continued use of the Service after the effective date constitutes acceptance of the revised Terms.

15. Governing Law & Disputes

These Terms are governed by the laws of the State of Texas, United States, without regard to conflict-of-law principles. Any dispute arising from these Terms or your use of the Service shall be resolved through binding arbitration under the rules of the American Arbitration Association (AAA), conducted in English. You waive any right to participate in a class-action lawsuit or class-wide arbitration.
